Friends of the Trace


The purpose of the Friends of the Trace is to provide input to the Board of Directors and Trail Manager from the trail users viewpoint. 

The Friends of the Trace organization was started in May 2004. Everyone who joins the Friends of the Trace by completing a Friends Application and making at least a $25 donation is a member and is invited to come and participate in the Friends meetings.

The members have adopted a mission statement and approved a set of bylaws.   Monthly meetings were held for the first year, but were then changed to quarterly, meeting in July, October, January, and April. Meetings are held on the first Monday of the Month (with exceptions when holidays conflict) at 6 pm at the Gateway Southern Miss.

Friends of the Trace

Mission

 To identify, provide for, and/or recommend to the Pearl & Leaf Rivers Rails-to-Trails Recreational District Board of Directors those things appropriate, necessary and in keeping with the intended multi-purpose uses, and that will cause the Longleaf Trace to achieve the goal of being as user friendly as is reasonably possible.

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

BYLAWS

OF THE

FRIENDS OF THE TRACE

 

DATED:  MAY 10, 2004

 

 

ARTICLE I

NAME:  The name of this organization shall be Friends of the Trace, herein and after referred to as “Friends”.

ARTICLE II

MISSION:  The mission of “Friends” is set out in its mission statement as adopted by this organization.  Such mission is established to assist the Pearl & Leaf Rivers Rails-to-Trails Recreational District with causing the Longleaf Trace to become as user friendly as is reasonably possible

ARTICLE III

MEMBERSHIP:  Membership shall be composed of those individuals who annually join “Friends” at a membership fee to be established by majority vote of its membership present and voting.  Said membership fee shall be in the form of a donation to the Longleaf Trace.

ARTICLE IV

OFFICERS:  The officers of “Friends” shall be composed of a president, a vice-president, and a secretary.  Officers shall be elected annually at its regularly scheduled meeting in May of each year, and shall assume office in June following such election.  Officers for the first year (2004) shall be elected in a special called organizational meeting on May 10, 2004 and shall immediately assume the election of the office.

ARTICLE V

RESOURCE PROVIDERS:  The Trail Manager and Gateway Manager along with such other individuals/employees in their respective organizations shall provide information and assist the Friends of the Trace to the extent reasonably possible in carrying out its mission.

ARTICLE VI

MEETINGS:  Monthly meetings of “Friends” shall be held in the Longleaf Room, located in the Gateway at Southern Miss Building at 6 pm on the first Monday of each month, unless by majority vote of those members present at a regularly scheduled meeting establishes a different time, date, or place for such meeting. Special meetings of “Friends” may be called by the president or any five (5) members thereof with a good-faith notice of seventy-two (72) hours prior to such meeting.  A quorum of “Friends” shall be no less than ten (10) members.  The rules of parliamentary procedure as set out in Roberts Rules of Order shall govern all meetings of “Friends”.

ARTICLE VII

FUNDS:  All funds generated by “Friends” through memberships or through other means shall be funds of the Pearl & Leaf Rivers Rails-to-Trails Recreational District as a donation to the Longleaf Trace.  A record of all funds generated by “Friends” as set out above will be budgeted by the District in an income/expenditure fund known as “Friends” (Fund 106).  “Friends may collect funds (fund 106) for special purposes or events in keeping with its mission.  “Friends” may recommend the expenditure of budgeted funds (fund 106) to the Pearl & Leaf Rivers Rails-to-Trails Recreational District Board of Directors in carrying out its mission.  The District Board of Directors may accept or reject such recommendations.  The District Board of Directors will generally expend funds (fund106) with a recommendation of “Friends”; however, the District may from time to time expend funds (fund 106) at its own discretion and without a recommendation from “Friends”.

ARTICLE VIII

COMMITTEES:  Special committees may be appointed by the president, whose duty it shall be to make recommendations to the “Friends” or to provide service to the “Friends” in keeping with its mission.

ARTICLE IX

AMENDMENTS:  The bylaws of “Friends of the Trace” shall be altered or amended upon a two-thirds (2/3) vote of members present at any regularly or special meeting called for such purpose.
